These Terms of Service (“Terms”) govern your access to and use of the Posboai website and platform (the “Service”) provided by Posboai (“Posboai”, “we”, “us” or “our”). [TODO(legal): registered entity name and ABN/ACN].
1. Acceptance of these terms
By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that business, and “you” refers to that business. If you do not agree, you must not use the Service.
2. The Service
Posboai provides online ordering and storefront software, including a branded storefront, B2B and B2C pricing, multi-branch inventory and an admin dashboard. We may add, change or remove features over time. We may also set reasonable usage limits consistent with your plan.
3. Accounts & security
You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. You must provide accurate information, keep it up to date, and notify us promptly of any unauthorised use. You are responsible for your staff users and for managing their access.
4. Subscriptions, the 15-day trial & billing
The Service is offered on a subscription basis. New accounts may start with a 15-day free trial with full access; you are not charged during the trial, and your first payment is taken at the end of the trial unless you cancel beforehand. You may cancel at any time from Settings → Billing.
Subscription payments are processed by our payment provider, Stripe, on a recurring basis (monthly or yearly) according to the plan and interval you select. Australian prices are GST-inclusive. Plan changes are prorated. Except where required by law or expressly stated, fees already paid are non-refundable; cancelling stops future charges. If a payment fails, Stripe may retry it before the subscription is suspended or cancelled.
5. Acceptable use
You must not:
- use the Service for any unlawful, fraudulent or harmful purpose;
- sell goods or services you are not legally permitted to sell;
- interfere with, disrupt, probe or attempt to gain unauthorised access to the Service or other accounts;
- upload malicious code or infringe the intellectual property of others; or
- resell or provide the Service to third parties except as permitted by us.
6. Customer data & intellectual property
As between you and us, you own the data you put into the Service — your catalogue, customers and orders (“Customer Data”). You grant us a limited licence to host and process Customer Data only as needed to provide the Service. You can export your Customer Data at any time.
We own the Posboai platform, software, brand and all related intellectual property. These Terms do not transfer any ownership in the platform to you; we grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription.
7. Third-party services
The Service integrates with third-party providers, including Stripe (subscription billing and payments) and Tyro (payments). Your use of those services is subject to their own terms, and we are not responsible for their acts or omissions. We may change our third-party providers from time to time.
8. Availability & no warranty
We work hard to keep the Service available and reliable, but it is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we exclude all implied warranties. Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law that cannot lawfully be excluded.
9. Limitation of liability
To the maximum extent permitted by law, we are not liable for any indirect, incidental, special or consequential loss, or for loss of profits, revenue or data. Our total aggregate liability arising out of or in connection with the Service is limited to the amount you paid us for the Service in the 12 months before the event giving rise to the liability.
10. Termination
You may cancel your subscription at any time in Settings → Billing. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to us or others. On termination, your right to use the Service ends; you may export your Customer Data for a reasonable period before it is deleted in the ordinary course.
11. Governing law
These Terms are governed by the laws of New South Wales, Australia, and you submit to the non-exclusive jurisdiction of the courts of New South Wales and the Commonwealth of Australia.
12. Changes to these terms
We may update these Terms from time to time. We will post the updated version here and revise the “Last updated” date above. Material changes will be communicated through the Service or by email where appropriate. Continued use after changes take effect constitutes acceptance.
